Legal

Terms & Conditions

How we work, what you can expect from us, what we need from you, and where the limits of our responsibility sit. Written to be understood before anything is signed.

Summary

The plain-language version.

These terms cover two things: using this website, and the general basis on which we provide services. Each engagement then gets its own written scope, and where that scope and these terms differ, the scope wins — it is the more specific document.

  • Work is defined in writing before it starts: deliverables, timeline, what is excluded, and what we need from you.
  • Prices are quoted per project , valid for the period stated in the quotation. There is no price list, because the same website is not the same job twice.
  • You own what we make for you once it is paid for, along with your domain, hosting and every account.
  • We do not guarantee outcomes. Rankings, sales, leads, approvals and platform decisions are not ours to promise.
  • Platforms decide their own matters. Google, Amazon, Noon, Maroof and the rest approve, reject, suspend and change rules without us.
  • Our liability is capped at the fees paid for the engagement in question.
  • Saudi law governs , and disputes belong to the competent Saudi authority.

Nothing here is legal advice to you, and it is not a substitute for reading the written scope for your project.

Responsibilities

Who is responsible for what.

The division of responsibility on a typical engagement
Matter Us You
Defining the work Writing a scope with deliverables, timeline and exclusions Reviewing it, asking questions, and approving it before work begins
Content and materials Structuring, writing and designing to the agreed scope Supplying accurate information, images and documents, and holding the rights to use them
Accounts and access Working inside the accounts you provide, and telling you what we need Creating and owning the domain, hosting, ad accounts, marketplace accounts and logins
Platform decisions Preparing a complete, honest application and correcting anything we got wrong Providing valid documents, and engaging directly with the platform if it asks you to
Advertising spend Planning, setting up and managing campaigns, and reporting on them Funding the ad account directly, and approving the budget before it is spent
Timelines Working to the agreed schedule and flagging risk early Returning feedback and approvals within the agreed periods
Monthly retainers Delivering the agreed monthly work and reporting on it Paying in advance for the month, and giving notice as set out in the scope

Delays in the right-hand column move the timeline on the left. We will always tell you when that happens rather than quietly slipping.

Getting started

Quotes, scope, and changing your mind.

Quotations

A quotation states the deliverables, the timeline, the price and how long the price holds. Quotations are based on what you tell us. If the facts change materially — a larger catalogue, an extra language, a second branch, a platform requirement nobody knew about — we will re-quote the difference in writing before doing the work, rather than absorbing it silently or springing an invoice on you later.

Scope and changes

The written scope is the contract for the work. Anything outside it is a change request: we assess it, quote it, and start it only once you approve. That protects both sides — you never pay for something you did not agree to, and we are never asked to absorb work indefinitely because it seemed small at the time.

What we need from you

  • A single person authorised to approve work, so feedback does not circulate.
  • Content, images, documents and decisions when the schedule asks for them.
  • Access to the accounts involved — we prefer to work inside accounts you own.
  • Confirmation that anything you give us is yours to use and does not infringe anyone else's rights.
  • Prompt replies when a platform asks for verification within a deadline.

Timelines

Timelines are estimates built on agreed response times. They are not guarantees, and they move when inputs are late or when a third-party platform takes longer than anyone predicted. When we see a schedule at risk we say so early, with the reason and the revised expectation.

Money

Fees, payment and what you pay others.

Fees

Fees are set in the written scope. Projects are typically staged across milestones — a deposit to begin, payments at agreed delivery points, the balance on handover — and monthly services are billed in advance. Where VAT applies it is shown separately on the invoice, in line with Saudi requirements.

What is not included

Unless the scope says otherwise, fees do not include advertising spend, platform subscription fees, domain and hosting charges, paid stock photography, premium fonts, third-party licences, courier or travel costs, or charges levied by a platform. Those are either paid by you directly or listed as a line item, so there is no ambiguity about who is paying for what.

Advertising spend

Ad budgets are funded by you, in your own ad account, in your name. We manage the campaigns; the money stays under your control and you can see every riyal of it in the platform's own reporting. Management fees are invoiced separately from spend.

Late payment

If an invoice runs past its due date we will pause work and tell you, rather than continue and let the amount grow. Work already delivered remains yours once paid for. Third-party costs we have already committed on your instruction remain payable.

Refunds

Digital work is delivered continuously, so refunds are assessed on what has actually been delivered rather than on the size of the invoice. Where work has been completed and handed over, it is not refundable. Where we have taken payment and delivered nothing meaningful, it is returned. Where something is genuinely our error, we fix it at our own cost rather than argue about it.

Ownership

What you own, and what we keep.

Your assets

The domain, the hosting account, the ad accounts, the marketplace and social accounts, the content you supplied and the data they hold are yours from the start. We set things up in your name wherever a platform allows it.

Deliverables

On full payment, the work created specifically for you — your pages, your design, your written content, your configurations — is yours to use, modify and take elsewhere. We hand over the files and the access.

What we retain

Third-party components keep their own licences and terms: platform subscriptions, premium fonts, stock assets, plugins and libraries. We will tell you what a project relies on, so you know what has to be maintained or replaced. We also retain the general methods, code patterns and know-how we use across projects — these are not specific to you and are not part of the handover.

Portfolio and publicity

We do not publish your project, your name, your logo or your results as a reference without your written agreement. If you do agree, you can withdraw it later and we will take it down.

Confidentiality

We treat your business information as confidential and will sign a non-disclosure agreement where you need one. We expect the same treatment of our proposals, pricing and methods.

Working files

We keep working files for as long as we think they are useful for maintenance and support, then clear them. If you want the raw source files archived for longer, say so in the scope and we will keep them.

Platforms and outcomes

Why we cannot promise results.

Third-party platforms decide their own matters

Where work involves Google, Meta, Snapchat, TikTok, Amazon, Noon, Haraj, Salla, Zid, Maroof, a payment provider or a courier, those companies make their own decisions. They approve, reject, verify, suspend, change policies and alter algorithms without consulting us or you. We can prepare a strong, honest, complete application; we cannot guarantee that anyone accepts it. Where a platform requires a person on a video call, an answer to a verification call, or a document only you can obtain, that part is yours — and we will tell you exactly what is needed and when.

Results

We do not warrant any specific outcome: search positions, traffic levels, impressions, clicks, leads, sales, revenue, occupancy, follower growth or return on advertising spend. We will tell you what we are doing, what we are measuring and what happened, including when it did not work. Anyone in this field who promises you a ranking or a sales figure is describing something outside their control.

Compliance and lawful use

We work within the laws of the Kingdom of Saudi Arabia and within the terms of the platforms we use. We will not write fake reviews, manufacture engagement, misrepresent a business, imitate a government or religious authority, present false documents, or attempt to bypass identity verification or policy enforcement. We will decline such requests and, where a client relationship cannot continue without them, end the engagement.

Boundaries

Liability, ending an engagement, and the law.

Limitation of liability

Our total liability for an engagement is limited to the fees paid for that engagement. We are not liable for indirect or consequential loss, including lost profit, lost business opportunity, lost data or reputational harm. We are not responsible for outages, account suspensions, algorithm changes, price changes or policy decisions made by third-party platforms, or for losses caused by information supplied to us that turned out to be inaccurate. Nothing in these terms excludes liability that cannot lawfully be excluded under Saudi law.

Termination

Either party may end an engagement as set out in the written scope. On termination, work completed to that date remains payable, deliverables already paid for are handed over, and third-party costs already committed on your instruction remain payable. If we end the engagement for reasons within our control, we hand over the work, explain the position, and do not leave you without access to anything you own.

Website content

Everything on this website is general information about how we work — not legal, tax, financial or professional advice for your specific situation, and not an offer capable of acceptance. Services are provided only under a written scope. Descriptions of platforms reflect what was accurate when written; those platforms change their rules, and their own documentation is always the authority.

Governing law

These terms, and any dispute arising from them, are governed by the laws of the Kingdom of Saudi Arabia, and the competent Saudi courts or authority have jurisdiction.

Complaints

If something has gone wrong, tell us directly and we will deal with it — most issues in this work are misunderstandings about scope or timing, and they are easier to fix early. If you are not satisfied with our response, say so and we will escalate it to whoever is responsible for the decision.

Questions

Questions about working together.

Do we have to sign a long contract?

No. A project is defined by a written scope with a price and a timeline, not by an open-ended contract. Monthly services such as SEO, social management or ad management run month to month, and either side can end them with the notice period set out in the scope — usually thirty days, so that work in progress is finished properly rather than dropped.

Who owns the website when it is finished?

You do. The domain and hosting are registered in your name from the start, and on final payment the site, its content and its files are yours. We hand over the access, and we do not hold anything hostage against a future fee.

What if we want to move to another provider later?

That is your decision and we will help with it — files, access and a short handover note. We would rather a client leave cleanly than stay stuck, and we do not charge a release fee.

Can you guarantee we will be approved on Amazon.sa or Noon?

No, and nobody honestly can. The platform assesses the application, verifies identity and documents, and decides. What we do is make sure the application is complete, consistent and correctly presented before it is submitted, and that you know exactly which documents are needed and why.

What happens if a platform suspends our account?

We help you understand the reason, prepare an appeal with the evidence the platform asks for, and correct anything on your side that contributed to it. We cannot lift a suspension — only the platform can — and we will tell you plainly if we think the position is not recoverable rather than billing months of work against it.

Can we pause a monthly service for a season?

Usually yes, if it is agreed in advance. There is an honest caveat: search and social performance tends to decay when the work stops, so a paused month is not a neutral month. We will tell you what we expect to happen rather than pretend the clock stops.

Questions

Something unclear in these terms?

Ask before you commit to anything. A question now is cheaper than a misunderstanding later.
